1. Introduction

These Terms & Conditions ("Terms") govern your use of the ByteInfy COD & Partial Pay Shopify application (the "Service") provided by ByteInfy ("we," "us," "our," or "Company"). By installing or using the Service, you agree to these Terms.

2. Acceptance of Terms

You must be the owner of the Shopify store or an authorized administrator to install the Service. By clicking Install or otherwise using the Service, you represent that you have authority to bind the store to these Terms.

3. Service Description

The Service helps Shopify merchants manage Cash on Delivery (COD) and partial-payment workflows, including deposit rules, OTP verification, COD blocking, COD fees, prepaid-discount incentives, order notifications, and related analytics. Features available to you depend on your selected plan as described on our pricing page.

4. Subscription & Billing

The Service uses a hybrid billing model consisting of a monthly subscription fee plus a per-order commission on partial-payment orders. All charges are processed by Shopify via its Billing API.

The subscription fee is charged at the start of each billing cycle. Commission is charged per qualifying order, subject to a per-cycle cap that you approve when selecting a plan.
Full-COD orders (no deposit collected) and fully prepaid orders are not charged commission.
Fees are non-refundable for partial billing cycles. If you cancel or downgrade, changes take effect at the end of the current billing cycle.
We may modify prices, commission rates, or plan features with reasonable prior notice via in-app notification or email.

5. Merchant Responsibilities

You agree to:

Provide accurate store and contact information and keep it current.
Comply with Shopify's Terms of Service and Acceptable Use Policy, and with all applicable laws.
Only send OTP, SMS, WhatsApp, or email messages to customers who have provided appropriate consent.
Configure deposit rules, COD blocking, and related features responsibly, and honor the pricing and delivery terms presented to your customers.

6. Acceptable Use

You may not use the Service to send spam, commit fraud, evade chargebacks, or engage in any activity that violates applicable law or Shopify's platform rules. We reserve the right to suspend or terminate Service access for violations.

7. Third-Party Services

The Service integrates with Shopify, AWS (Amazon SES), 2Factor.in, and Meta/WhatsApp Business Platform. Your use of these integrations is subject to the respective providers' terms. We are not responsible for outages, delivery failures, or policy changes of these third parties.

8. Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, ByteInfy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim arising out of or related to the Service shall not exceed the fees you paid to us in the three (3) months preceding the claim.

9. Termination

You may terminate these Terms at any time by uninstalling the application from your Shopify store. We may terminate or suspend access for breach of these Terms. On termination, we process data-deletion obligations per our Privacy Policy and Shopify's GDPR compliance webhooks.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in India.

11. Changes to Terms

We may update these Terms from time to time. We will update the "Last Updated" date above and, where the change is material, provide reasonable notice via in-app message or email. Continued use of the Service after changes constitutes acceptance.
